1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of kalathi ("the Application"), a private sales reporting and accounting automation tool developed and operated by APC Consulting on behalf of Pete's Produce. By accessing or using the Application, you agree to be bound by these Terms.

Access to the Application is restricted to authorized personnel only. Unauthorized access is strictly prohibited.

2. Description of Service

Kalathi provides the following functionality for Pete's Produce:

• Automated retrieval and processing of daily point-of-sale CSV files from Dropbox
• Generation of balanced journal entries for QuickBooks from sales data
• Sales analytics dashboards and reporting across store locations
• File archiving and processing log management
• Integration with Intuit QuickBooks and Dropbox via OAuth

3. Authorized Use

The Application is provided exclusively for internal business use by Pete's Produce and its authorized personnel. Authorized users agree to:

• Use the Application only for its intended business purposes
• Keep login credentials confidential and not share access with unauthorized individuals
• Promptly notify APC Consulting of any unauthorized access or security concerns
• Not attempt to reverse engineer, modify, or interfere with the Application
• Not use the Application in any manner that violates applicable laws or regulations

4. Third-Party Services

The Application integrates with Intuit QuickBooks and Dropbox. Use of these integrations is subject to the respective terms of service of those platforms:

APC Consulting is not responsible for the availability, accuracy, or policies of these third-party services.

5. Data Accuracy

Kalathi processes sales data as provided in the source CSV files. The accuracy of journal entries and reports depends on the accuracy of the underlying sales data. APC Consulting makes reasonable efforts to ensure correct processing but is not liable for errors arising from incorrect or malformed source data.

Users are responsible for reviewing generated journal entries and reports before relying on them for financial or accounting decisions.

6. Availability & Maintenance

APC Consulting will make reasonable efforts to maintain the availability and performance of the Application. However, the Application may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control including third-party service outages.

7. Limitation of Liability

To the fullest extent permitted by applicable law, APC Consulting shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use the Application, including but not limited to loss of data, loss of revenue, or accounting errors.

The Application is provided as a tool to assist with accounting automation and does not constitute professional accounting, financial, or legal advice.

8. Intellectual Property

Kalathi, including its code, design, and functionality, is the intellectual property of APC Consulting. All rights are reserved. The Application is licensed for use by Pete's Produce under a private agreement with APC Consulting and may not be copied, redistributed, or used by any other party without written permission.

9. Modifications to Terms

APC Consulting reserves the right to update these Terms at any time. Continued use of the Application following any modifications constitutes acceptance of the revised Terms. Users will be notified of material changes where reasonably practicable.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.
